Roles & ResponsibilitiesKey ResponsibilitiesRegulatory Compliance ManagementEnsure compliance with UAE Commercial Companies Law, AML/CFT regulations etcMonitor regulatory changes and assess their impact on the Group and JV entitiesCoordinate with regulatory authorities and ensure timely submission of statutory filings, renewals, and disclosures.Develop and maintain compliance policies, procedures, and compliance monitoring frameworks.Corporate Secretarial & GovernanceManage all corporate secretarial activities for JV companies and subsidiary entities.Organize Board and Committee meetings including agendas, board packs, resolutions, and minutesMaintain statutory registers, corporate records, powers of attorney, and legal documentationEnsure compliance with shareholder agreements, delegated authority matrices, and governance frameworksSupport implementation of governance best practices aligned with listed entity standards.Handled Listed Entity & Disclosure ComplianceHandle governance and disclosure requirements applicable to listed entities and regulated subsidiariesCoordinate related-party transaction compliance, conflict of interest declarations, and governance reporting.Assist in board evaluations, governance audits, and compliance reviews.Risk Management, AML & Due DiligenceConduct compliance risk assessments across projects and business operations.Investigate compliance breaches and implement corrective action plans.Coordinate responses to regulatory inspections and audit observations.Desired Candidate ProfileThe preferred candidate profile should be below 30 years of age with 3?5 years of relevant post-qualification experience.Preferred Qualifications (First Attempt): Company Secretary (CS) and bachelor?s degree in law (LLB).Candidates with prior experience in real estate, JV structures, or regulated/listed organizations in the UAE will be preferred.
