Job at this level are responsible for supervising the area of legal affairs in stc. Also, they are responsible for assisting on the strategic mandates to minimise business risks and leverage potential opportunities?Drive corporate M&A, JV and Investment related activities throughout the entire lifecycle including, all stages of the M&A process and transaction execution, overseeing the due diligence process, negotiation of key transaction documents and providing legal advice for all potential opportunities.?Challenge decisions on M&A, JV and Equity Investment transactions and ensure that such transactions are legally viable while simultaneously adhering to international standards of best practice.?Study and assess the Legal impact of the investments/divestments on STC before execution of M&A activities and guide accordingly.?Supervise M&A , JV and Equity transactions from a legal perspective including preparing, reviewing and advising on key transaction documents such as SPA?s and SHA?s, carrying out and overseeing due diligence activities, corporate restructuring and equity transactions.?Provide training on M&A processes and documents to STC employees (legal and non-legal) in order to upskill as well as develop guidelines and procedures related to M&A activities.?Assist in managing global M&A, JV and Equity Investment projects and proceedings globally; identifying and advising on legal risks associated therewith..?Engage key stakeholders in building and implementing strong, consistent and sustainable compliance culture, processes and policies in the KSA regions and support in driving robust corporate governance practices in KSA regions in connection with M&A, JV and Equity Investments.?Managing external counsel and related fees effectively and efficiently.
