Legal AdvisorObjectives:Our client is a holding that deals with investments & PPP projects (oil & gas, infrastructure, construction, energy) and other activities like real estate, is looking for a Legal Advisor specializing in managing risk and avoiding crises in long-term energy and infrastructure projects. Furthermore, the candidate must have experience in public infrastructure projects and Public-Private Partnerships.Key Responsibilities:Advising sponsors, commercial lending institutions, and DFIs on the drafting and negotiation of project/concession agreements, EPC Contracts, EPCM Contracts, Operation and Maintenance Agreements, Offtake Contracts, security documents, and all other ancillary project documents required for the financing and delivery of major infrastructure projects.Constructing financial, EPC and O&M Agreements.Ability to partake in an internal legal setup; comprising constructing templates, and forms for Contracts and Agreements, which include NDA, SHA, AOA.Advising on a broad variety of corporate lending finance, acquisition finance, project finance, and restructuring matters.Engaging in the drafting, negotiating, and reviewing of a wide variety of financial contracts, including facility agreements and ancillary documents.Being involved in all aspects of Energy and Infrastructure, Public Private Partnerships and concession projects.Responsible for providing advice, particularly on financing, joint ventures, merger and acquisitions, regulatory matters, procurement, construction, PPP as well as dispute resolution.Preparing legal due diligence and legal opinion.Preparing and reviewing legal documents and arrangements.Work directly with PPP/Project Financial Specialist to properly identify infrastructure gaps, cost and benefits of infrastructure, and which projects might successfully be financed via a PPP.SkillsBachelor?s Degree in Law.Higher educational qualification is preferred.Experience in PPP Contracts and implementing PPPs.Experience in designing, implementing, or evaluating Public Private Partnerships.Experience in Financing Agreements.Experience in EPC and O&M Agreements.Experience in internal legal setup.Experience in Oil & Gas, Energy, Construction, or Infrastructure sectors.Experience in Cap Table.Experience in Project Finance.* Minimum of three (3) year experience in working with a top tier and well-known law firm in the regionJob Location Khobar, Saudi Arabia Job Role Legal Residence Location Saudi Arabia
