Peregrine Limited, a FSRA Cat 3C license holder, was established to develop a next-generation, blockchain-driven investment platform to meet the growing demand from both managers and investors for digital assets (tokens). Bringing together significant investment management expertise and specialist digital asset market infrastructure developers, Peregrine is supported by the ADGM and works alongside the ADGM?s best-in-class service providers in developing the region?s financial and digital asset ecosystem. In addition to the investment platform, Peregrine?s clients leverage its expertise in structuring, compliance, investment operations and capital raising.Job purpose:We are looking for a highly qualified Head of Legal to oversee the legal aspects of our digital asset business. You will safeguard our reputation by guaranteeing that the company strictly follows law guidelines and give legal advice to management about all relevant issues. The successful candidate will effectively ensure legal conformity and minimize the probability of exposure.In the first three months, expect to:

• Develop a deep knowledge and understanding of the Peregrine business, strategy, plans, and offering, and its inter-relation with ADGL law (and FSRA rules) and the broader UAE ecosystem; and
• Develop a good commercial and legal knowledge around digital assets and the legal implications of the global ecosystem and architecture; and

• Upgrade and produce pro-forma documentation covering fund and corporate structures, template agreements, etc., in particular, to encompass the global digital environment; and

• Participate with management and business development in meetings with stakeholders including prospective managers/asset-owners, distribution partners, and investors, and provide good commercial and legal recommendations on behalf of Peregrine.

• Enable (legal) connectivity and agreements with global digital counterparties and partners as required.
• Assist management in onboarding investment funds/entities onto the investment platform, and where relevant in a tokenized form.

• Establish a selection panel of UAE and global (main fund jurisdictions) external legal and tax advisors who Peregrine could work with or suggest to prospective clients.

• Become a renowned digital asset legal expert.

• Give accurate and timely counsel to executives on various legal topics
• Will be involved in all aspects of negotiation, structuring, relationships outside counsel selection, and other areas in relation to Fund formation, SPV formation, and Corporate/Commercial activities.
• Research and evaluate different risk factors regarding business decisions and operations
• Apply effective risk management techniques and offer proactive advice on possible legal issues
• Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trust
• Draft and solidify agreements, contracts and other legal documents to ensure the companys full legal rights
• Deal with complex matters with multiple stakeholders and forces
• Provide clarification on legal language or specifications to everyone in the organization
• Conduct your work with integrity and responsibility
• Maintain current knowledge of alterations in legislation
