Job Description

On behalf of a leading semi-government organisation we are seeking a General Counsel. Based in Riyadh. You will report to the CEO and will be responsible for legal compliance and risk prevention. Reviews all imposed regulatory clauses that are relevant to the organisation within KSA and globally and provide input/ legal advice to CEO, Board of Directors and Function heads.?

  • Drives the development of Legal strategy, ensuring full support to the organisation strategic intent and alignment to relevant regulations. Oversees the development of Legal policies, procedures, ensuring the organisation promotes leading practice and excellence in terms of Governance, Compliance and all Legal matters.
  • Reviews and approves in line with DOA national and international agreements, memorandum of understanding, service level agreements, in addition to all legal documentation for investments, acquisition, partnerships, joint ventures, litigation purposes, etc. and informs CEO and other BoD members on significant contractual/ legal/ dispute issues that may jeopardize the achievement of the organisation ?s goals.
  • ?Supports the core operations of the organisation in a legal capacity, provides prudent advice and drafts and/or reviews the documentation on behalf of the same as necessary e.g. agreement with contractors and service providers; investments agreements, permits, other general business contracts, etc.?
  • ?Oversees legal defense actions and represents the organisation in important matters before courts, government agencies, or other authorities in order to protect the organisation?s legal and business interests.
  • ?Participates in the development of the Board and Management Governance framework, this will cover the identification, establishment of guidelines for different committees, in addition to the development of respective roles, mandate, and associated policies.
  • Follows up on changes in legislation and other developments in the legal field to remain updated, and ensure changes are communicated to all relevant employees.
  • Keeps abreast with the latest applicable rules, regulations and Royal Decrees pertaining to investment, waste management, and recycling and any matters affecting the operations.
  • Interpret KSA and international laws, rulings, and regulations for the organisation functions, ensuring their implication and full compliance is understood.
  • Ensures corporate legal documents are in compliance with all applicable laws and regulations.
  • Point of contact for providing high-quality legal advice on all matters that affect or that could potentially affect the organisation.
  • Establish and maintain relations withholding legal/compliance functions to align policies and processes which mitigate potential legal risks.
  • Acts as a key point of contact with external regulators to facilitate any legal-related risks, non-compliance or violations.
  • ?Establish and maintain relations with partners, to outsource part of the legal and risk agenda to external parties.
