Senior Legal Counsel (Investment/Private Equity/Hedge Fund/Real Estate) ? Native Arabic SpeakingSalary: AED 55,000Location: Abu DhabiPOSITION DESCRIPTION:The Legal Department is responsible for all aspects of legal, regulatory, compliance and governance matters. By working closely with each business department, the legal department protects and promotes the best interests of the Group by identifying and managing risks affecting the Group, its assets and its investments.?MAJOR DUTIES AND RESPONSIBILITIES:

• Provide strategic and proactive legal advice to the business.
• Carry out company secretarial work including, preparing and processing PoAs, preparing and processing shareholders and board resolutions; setting up companies; and carrying out all necessary procedures with the relevant governmental authorities to notarise, file and/or ratify any legal documents.
• Support the provision of legal services including drafting, reviewing and negotiating all types of legal documentation and contracts, assess legal and regulatory risks in business operations.
• Advice on regulatory and corporate governance related matters and to provide direction to facilitate the making of informed decisions while managing key legal and regulatory risks.
• Ensure ongoing compliance with legal, regulatory and corporate governance requirements.
• Ensure that contracts and all other forms of legal commitments comply with the Group?s DoA.
• Assist in identifying and assessing legal and commercial risks of transactions and developing action plans and basic solutions on identified deficiencies.
• Contribute to the continuous improvement of systems, processes and practices taking into account ?international leading practice?, in order to improve business processes, and increase operational effectiveness.
• Approve the selection and appointment of external legal counsels and panels to ensure that the Group is provided with accurate and precise legal advice and minimise exposure to any legal or reputational risk.
• Oversight of all contracts including, but not limited to Investment, Commercial, Real Estate, Supplier, Infrastructure, Finance & HR.
• Address any legal, regulatory and risk concern and the potential impact on the business.
• Participate in the development and periodic amendment of the organizations policies and procedures.
• Represent the Company on all legal and external affairs matters including litigation, investigations, compliance, agreements and contracts.
• Providing in-house support in relation to the formulation and implementation of business, commercial, investment and financial milestones of the business.
• Supporting HR in implementing appropriate performance management and grievance processes.
• Provide legal advice to ensure corporate compliance.
• Responsible for advising the business on UAE law matters (including employment, regulatory, finance, property, real-estate, intellectual property, corporate and commercial law and any other type of law relevant to the business) as may be applicable to the activities of the business or to its employees; and to that effect in preparing legal opinions, reports, memoranda and correspondence on issues referred to the UAE Legal Affairs Department for advice, opinion or guidance in relation to the various fields of law aforementioned.
• Responsible for following up and monitoring, participating, in conjunction with the concerned departments, units or other competent bodies of the business, in the investigation of internal disputes, transgressions, unlawful violations of the internal rules and regulations of the business, and for opining on and recommending appropriate action thereon, and for carrying the same into effect, including bringing legal action of any nature (whether criminal civil and administrative, commercial, personal law or otherwise), as well as fully-fledged litigation dispute resolution mechanisms, or settlements.
