Job Description

The Senior Counsel will be responsible for acting as a Transactional Lawyer as part of the Legal Department for the designated Business Area. This position is an individual contributor role requiring advanced knowledge of EPC markets, products, clients, and customers. The role typically reports to the Area General Council.Responsibilities

  • Reviewing Proposals / ITB?s, preparing contract deviations and managing negotiations for new opportunities (which includes reviewing EPC Contracts terms and conditions, pricing/payment schedules, scope of work, project procedures and execution schedules on lump sum, unit rate and reimbursable contract models) for projects ranging from several million to several billion dollars in value
  • Advising, reviewing and negotiating EPC project related MOU, Consortium, Joint Venture, Partnership and Shareholder Agreements
  • Advising on EPC Projects in varying jurisdictions and working with and understanding foreign governing/applicable law, including facilitating, understanding and applying specialized legal advice from such jurisdictions
  • Ensuring project contracts are consistent with the McDermott project objectives and McDermott policies while avoiding onerous liabilities
  • Coordinating project reviews by insurance experts
  • Advising on and review of financial instruments (e.g., letters of credit, bank guarantees) and project finance documentation
  • Participating in management review meetings
  • Preparing and supporting negotiation and implementation of Subcontracts and Purchase Orders
  • Assisting/advising in preparation and negotiation of Change Orders, Extensions of Time and Claims raised by Clients, Vendors, Subcontractors and McDermott
  • Advising on and review of Parent Company Guarantees and advise on corporate house-keeping matters like setting up or close out of offices/entities Advising on compliance and anti-corruption matters and conducting compliance investigations
