Job Title: Corporate Service ProviderJob Summary:As a Corporate Service Provider, you will be responsible for ensuring that an organization complies with legal and regulatory requirements, maintains proper corporate governance, and supports effective communication and coordination between the board of directors, management, and shareholders. You will provide professional advice to the board of directors on matters related to corporate law, company policies, and best practices, and play a critical role in safeguarding the organizations legal and regulatory interests.Responsibilities:1. Board Support: Support the board of directors by organizing and preparing board meetings, coordinating with directors, and ensuring that board decisions are properly documented and implemented. Assist in the preparation of board materials, resolutions, and minutes, and maintain board records.2. Shareholder Relations: Serve as a point of contact for shareholders and manage communication with shareholders, including managing shareholder meetings, handling shareholder queries, and maintaining the register of shareholders.3. Legal Compliance: Monitor changes in laws and regulations relevant to the companys operations, assess the impact on the company, and ensure compliance with applicable laws and regulations. Provide legal advice on contracts, agreements, and other legal matters.4. Company Secretarial Duties: Maintain and update the companys statutory registers, records, and filings with regulatory authorities. Prepare and file required documents, such as annual returns, resolutions, and other corporate filings.5. Company Formation: Ability to set up mainland and freezone companies in UAE and/or KSA. Full understanding and knowledge of company setup including legal documentation, attestations and notarization.6. Setting up Bank Accounts: Previous understanding of setting up the bank accounts for existing or newly opened companies in UAE and KSA.Qualifications and Skills:Bachelors degree in Law, Business Administration, or related field.Professional qualification, such as ACCA, ICSA, or equivalent.Minimum of 5 years of relevant experience as a Company Secretary or in a similar role, preferably in the UAE or the Middle East region.Strong knowledge of local laws, regulations, and corporate governance requirements in KSA and UAE.Excellent communication, negotiation, and presentation skills.Attention to detail, accuracy, and ability to work under pressure.Ability to work independently and collaboratively with cross-functional teams.Proficient in Microsoft Office applications and other relevant software.
