Job Description

Legal Manager | Group Legal | Corporate ServicesOverview of the roleThe Legal Manager will act as in-house legal counsel for the Al-Futtaim Group in Egypt. The role will entail providing legal advice, support and assistance to Group companies in various matters, including but not limited to, corporate, commercial, retail, property, construction and contentious matters. Particular support will be required for real estate related matters, with the candidate expected to be conversant with all applicable real estate laws and regulations, and demonstrating that he/she has extensively advised upon, negotiated, drafted, and reviewed, property related documentation. The candidate will be expected to have the requisite skill set and experience for such role, as well as possessing the necessary legal qualificationsÿWhat you will doReal Estate and Construction

  • Negotiate, draft, review and advise upon, all required contractual documentation (standard and bespoke)ÿin relation to real estate matters. Such documentation will include construction contracts, leases (commercial, residential and retail), licences, sales and purchase agreements, facilities management agreements, supply/service agreements, property management agreements, development agreements, consultancy agreements, guarantees, amendment agreements, assignment agreements, settlement agreements, confidentiality agreements, hotel management agreements, MOUs, LOIs, and all other related and ancillary documents.
  • Ensure that all such contracts are properly drafted, comprehensively reviewed, and in compliance with statutory and regulatory requirements.
  • Provide particular advice and support in respect of managing the contractual and legal relationship between the relevant Al-Futtaim entity (as landlord) and mall retail tenants
Retail
  • Provide advice and support to the Group in relation to establishing new companies or branches for conducting retail businesses.
  • Provide advice on licensing requirements and retail industry specific regulations/requirements.
  • ÿProvide advice on import regulations and restrictions as may be applicable to retail products.
  • Provide advice on trademark laws and regulations as applicable to principals? trademarks/brands and their use by Group companies in the course of business.
  • Review and advise on distributor, franchise and supply agreements.
  • Draft, review, and advise on agreements with third party service providers.
  • Advise on applicable commercial, labour, tax and investment laws
Corporate
  • Attend to corporate matters as required, including company incorporation, registration and licensing, provision of company secretarial support for the meetings of Board of Directors and shareholders of Al-Futtaim Group companies, and maintaining and updating corporate/company documentation.
  • Ensure compliance with applicable company law and related legal requirements.
Risk Management and Compliance
  • ÿProvide advice, assistance and support to Al-Futtaim Group companies in respect of both existing and prospective matters.
  • Identify, mitigate and manage potential exposure and contingent risk across Group companies? businesses.
  • Ensure that companies and contractual documentation are in compliance with all relevant and applicable laws and regulations
Disputes and litigation
  • Advise upon the settlement, management and conduct of various contentious matters (including claims and disputes with contractors, consultants, tenants, and other parties).
  • Seek to resolve issues by way of negotiated settlements and amicable resolution, where possible.
  • Represent Group companies before the courts and competent authorities, and at arbitration.
  • Instruct external legal counsel as and when required
Training and supervision
  • Provide supervision for direct reports.
  • Identify and address training and development needs of team members.
  • Ensure team consistently maintain high standard and quality of work
Government liaison
  • ÿLiaising with Governmental Authorities in respect of any licences and approvals that may be required for Group companies and their businesses
