The RoleProactively address legal needs of the Group of Companies, as they arise, in legally prudent, cost-effective, resourceful and timely manner in performing role add value to the Company.Principal Responsibilities:Providing commercially sound, strategic, pragmatic and timely legal advice to senior managementAssisting the Director Legal Services to drive good corporate governance within the business and participating in the definition and development of other corporate policies, procedures and programsAssisting the Director Legal Services to ensure the Companies strict adherence to its compliance and ethical standards regimeAssisting the Director Legal Services in anticipating, identifying, managing and proactively mitigating legal / legal-commercial risks across the Group whilst providing pertinent business-related legal advice to all in-house clientsReviewing, drafting and negotiating contracts with the Companies partners, suppliers, clients, target investors and lenders (e.g. distribution agreements, franchise agreements, supply agreements, leasing agreements, loan agreements, securitization agreements, power purchase agreements etc.)Providing legal support in relation to all company law matters including the incorporation of companies, reviewing and/or drafting articles of association/by-laws as well as shareholder agreements and reviewing and/or drafting shareholder/board resolutionsProviding legal support in relation to all intellectual property mattersProviding legal support in relation to regulatory filings keeping abreast of legislative developments, advising the Companies in relation to the same and proposing appropriate measures to deal with such developments undertaking legal audits of the divisions / companiesSelecting and managing external counselPreparing and presenting legal / legal commercial seminarsUndertaking other legal-related tasks for the business.
