Senior Legal Advisor, Debt Management

Job Description

Petroplan is seeking to hire a Senior Legal Advisor, Debt Management for one of its Clients within Oman.Job Responsibility:Supporting the Legal Counsel in the delivery of his/her duties including the following matters:Develop and execute appropriate legal strategies and solutions to facilitate Companys commercial objectives related to the Debt management activities while mitigating any associated legal risks.Review and understand all the Company relevant regulations such as Sultani Decrees and its amendments, Ministerial Orders, and any local laws.Provide analysis to and counsel senior management on legal compliance issues relating to Companys debt management activities on matters arising in Oman and international jurisdictions that the Company operates in.Work closely with business units (and the debt management office at the Ministry of Finance) advising on a broad range of legal matters, including investments, litigation, regulatory, employment law, and other legal matters, that arise out of any of new or existing debt arrangements.Assist in the development of the debt management framework for the Company (and as applicable to its portfolio companies), in line with existing local regulations, Sultani Decree, and government policies and Ministerial orders. The framework should include relevant policies and procedures including process flow charts.Act as a focal point in dealing with external lawyers by selecting and recommending the appointment of external legal counsel (as required to the assigned responsibilities), managing and coordinating the use of their services including effectively managing legal costs within agreed technical and cost parameters in relation to the assigned responsibilities.Work with external counsel as appropriate to:Prepare legal advice on all matters arising out of any debt arrangement, including advice on documents and contracts, including transactional documents, facility documents, and assist in the negotiations as required by the relevant team or management.Provide legal assessments, interpretations, recommendations, and representation to the management and relevant team on day-to-day operational matters, which will include all investment transactions, vendor service contracts, joint venture agreements, third party outsourcing contracts, etc, as required in relation to the assigned responsibilities.Provide legal advice on actual or anticipated litigation issues and work with external legal counsel and assist as appropriate.Assist, as required by the business heads, in the legal due diligence of direct investment transactions (including real estate, private equity, and corporate) involving participation in or acquisitions and divestitures on the part of the Company from structuring through to execution, as it relates to the assigned responsibilities.Flag legal issues for business resolution and propose alternatives and recommend solutions to achieve business objectives and minimize legal risk.Compile standard the Company documents such as terms of Business, Non-Disclosure and confidentiality agreements, contract and term sheets, etc.Provide on the job training to Junior lawyers reporting directly to such positions.Ensure that all Company management is regularly updated with any relevant changes to the local and international laws and regulations applicable to the Company as relates to existing or contemplated debt arrangements.Minimum Qualifications and Requirements:Bachelors Degree in lawSpecialization related certification is preferred.14-16 years of related experience of which a minimum of 3-6 years should be in a similar position/ responsibility.Behavioral competencies in Discipline & Punctuality/ Creative and Innovative/Thinking /Teamwork & Cooperation/Planning and Organizing/Communicating and Influencing/problem solving /Achievement Drive & Self-Motivation/Analytical Thinking /Decision Making and Judgment/ Risk Analysis and Management/ Strategic Thinking/ Leadership.About PetroplanPetroplan is the trusted, specialist global Talent Solutions partner of choice for employers and professionals in the Energy sector.
