Job Description? Organize and prepare agendas, notices, and minutes for Board meetings, committee meetings, and Annual General Meetings (AGMs).? Ensure the company complies with relevant UAE laws, regulations, and corporate governance codes.? Maintain statutory registers (members, directors, charges, etc.) and company records.? File necessary documents and returns with regulatory bodies (e.g., Department of Economic Development, licensing authorities) within deadlines.? Advise the Board on governance matters, directors' duties, and legal/regulatory changes affecting the business.? Liaise with shareholders, auditors, legal counsel, and regulatory authorities.? Manage the company seal, share transfers, and shareholder communications.? Support due diligence processes for mergers, acquisitions, or other corporate transactions.? Ensure timely renewal of trade licenses, permits, and corporate filings.? Maintain confidentiality of sensitive company information.SkillsQualifications & Requirements? Bachelor's degree in Law, Business Administration, Finance, or a related field.? Professional certification (e.g., Chartered Secretary, CS, ICSA, or equivalent) preferred.? Minimum 2 years of experience in a company secretarial, legal, or compliance role.? Strong knowledge of UAE corporate law, company regulations, and governance best practices.? Excellent organizational and record-keeping skills.? Strong written and verbal communication skills in English (Arabic is a plus).? High attention to detail and discretion in handling confidential matters.? Proficiency in relevant compliance and document management software.
