Director - Legal Affairs (Construction Experience a Must!!!)

Job Purpose? The main purpose of the Legal Director is to plan and manage the company?s legal affairs, to minimize its legal risk and ensures compliance with applicable lawsPrincipal AccountabilitiesCorporate? Responsible for the selection, management and retention of the Legal team and enforce policies & procedures to improve overall effectiveness of the function? Provide inputs to Human Resources on succession planning, employee career growth, and organizational structure? Direct the development of KSA national employees across the function to support corporate objectives, Saudization targets and lead the knowledge dissemination culture to ensure optimal building of internal capabilities and maximize their performance? Manage and conduct the affairs of the function with the highest standards of respect, integrity, accountability, agility, quality, safety and corporate governance? Ensure compliance with Code of Ethics policy and adopting company values across all function?s employees and provide leadership to reinforce a strong people culture and ethical business practices? Enhance adoption and utilization of systems and ERPFunctional? Manage the Company's domestic and international legal affairs? Advise and direct management on legal requirements affecting the operations, the BoD, subsidiaries, branches and the offices and management teams of the company?s entities ? Oversee legal requirements and structures and provide advice on legal matters of major transactions including but not limited to JV/Consortium agreements, mergers and acquisitions, major subcontractor/supply agreements? Identify and report legal risks of major terms & conditions for critical agreements and deals? Provide management with advice and guidelines on laws, regulations, litigations, interpretive guidelines, advisory opinions and settlement of claims affecting the operations of the business throughout the company? Monitor all claims and lawsuits filed against the company or any of its subsidiaries, working with contracts and commercial team along with the executive management team and external counsel as required to follow through and progress until final settlement? Proactively manage external counsel in regards to the development of case strategy, litigation plans, case budgets, cost management and advising optimal and timely resolution of disputes? Perform pre-litigation work to minimize risks and protect the company?s legal rights? Oversee and guide the compliance function?s licensing, certification, filing and permits to ensure they are compliant with the laws and regulations and are up to date ? Advise Internal Audit and Finance on compliance matters affecting the operations of the company involving employees with respect to established policies and procedures? Act as the first point of reference for questions concerning laws and regulations? Manage the work of external legal service providers contracted by the company? Provide legal advisory on legal documents received from 3rd parties (e.g. MOUs) as required? Review legal contracts (e.g. for Business Development purposes, Contracts & Commercial, with clients, etc.) ? Support the Board and the management on corporate legal matters? Ensure that all the company?s decisions, actions, policies, and documents comply with the relevant laws and regulations in all countries of operation? Develop, implement and maintain policies and procedures for the general conduct of legal and compliance functions and their relative activities? Research new legal issues and legislative changes that can have an impact on the company and its operations? Provide training to executive management and key staff on substantial legal matters as required? Accountable for the successful and cost effective resolution of legal cases in all counties of operation, including where applicable out of court settlements? Develop and institutionalizes the company?s legal know-how and capabilities? Develop and implement the legal function strategy and plans in line with the company?s strategic objectives? Manage intellectual property strategy and its implementation? Manage all aspects of the Board and Committee meetings & mandates, including convening and servicing the Annual General Meetings (all Board of Director Meetings ? calendar, agenda, minutes, discussion etc.)
