Job Description

  • Provide legal advice to employees and corporate officers
  • Manage all legal operations and procedures?
  • Execute necessary and precautions?measures in order to protect company from any legal risks
  • Negotiate and coordinate business transactions
  • Provide utmost confidentiality in all business-related matters
  • Manage different?types of contracts, legal reports and?supporting documentation
  • Drafting employment contracts, heading the negotiation team with the clients? employees with respect to lay off(s), handling approvals from the Ministry of Manpower regarding expats? work permits and constant communication with the governmental authorities.
  • Communicating with different governmental authorities regarding different legal queries including the General Authority for investment and Free Zones, Central Administration for Pharmaceutical Affairs, Financial Regulatory Authority, Ministry of Manpower and Immigration, Ministry of Foreign Affairs and different Labor Offices.
  • Drafting and negotiating various types of contracts including brokerage consultancy contracts, hospitality consultancy contracts, maintenance contracts, transportation contracts, outsourcing contracts, marketing contracts, recruitment contracts, complex lease contracts and use, operation and management contracts.
  • Negotiating contracts, drafting and reviewing employment contracts, termination agreements, secondment, personnel handbooks, company policies, and all contractual documents related therewith.
  • Advising on employees? benefits, insurance, end of service payment and pensions.
  • Negotiating, drafting and reviewing offer letters and employment/management contracts for executives, including compensation packages, and non-compete covenants.
  • Structuring of remuneration and bonus schemes such as deferred compensation and advising on share or stock option plans, phantom share plan, etc.
  • Conducting administrative investigations in relation to labor dismissal cases.
  • Preparing and enforcing individual or collective dismissals.
  • Advising extensively on vocational health and safety regulations.
  • Advising on transfer of intellectual property rights and concluding collective labor agreements.
  • Corporate secretary services (including preparing and holding board of directors? and shareholders? meetings) and handling all necessary filings and ratification with procedural team.
  • Reviewing term sheet in the course of potential acquisition and drafting memoranda of understanding in connection with potential joint venture.
  • Drafting and reviewing memoranda of understating.
  • Drafting and reviewing restrictive covenants including non-disclosure, non-competition and non-solicitation agreements.
  • Overseeing and monitoring the labor lawsuits in conjunction with the litigation department.
