We specialize in providing innovative financial solutions to our clients, including public equity, private equity, venture capital, and structured finance transactions.Position Overview: The Corporate Lawyer will provide expert legal advice and support on a variety of corporate transactions, including initial public offerings (IPOs), private placements, and mergers and acquisitions (M&A). The ideal candidate will have extensive experience working within the financial services industry, particularly in the context of the Financial Services Regulatory Authority (FSRA) and ADGM regulations.Key Responsibilities:

• Support the development and implementation of group legal strategy and contribute to the development of the organizations general business strategy.
• Structure and execute global financial transactions, including private equity investments, venture capital deals, and structured finance transactions, in compliance with regulatory requirements and best practices.
• Advise on and manage the legal aspects of IPOs, private placements, and M&A transactions.
• Draft, review, and negotiate transaction documents, including prospectuses, offering memorandums, shareholder agreements, and purchase agreements.
• Conduct due diligence and ensure compliance with relevant laws and regulations.
• Draft, review, and negotiate contracts, agreements, and legal documents related to corporate transactions, investments, and partnerships.
• Provide legal advice and guidance to internal stakeholders on matters related to financial structuring, regulatory compliance, and corporate governance.
• Conduct legal research and analysis on relevant laws, regulations, and industry trends affecting the financial services sector.
• Ensure compliance with FSRA and ADGM regulations, providing guidance on regulatory matters.
• Liaise with regulatory authorities and ensure timely submission of required documentation and filings.
• Identify and mitigate legal risks associated with corporate transactions and operations.
• Develop and implement policies and procedures to ensure legal and regulatory compliance.

• Education:
• Bachelors degree in Law (LLB) from a recognized institution; Masters degree (LLM) or equivalent is preferred.
• Admission to practice law in a recognized jurisdiction.
• Minimum of 10-15 years of experience as a corporate lawyer, with significant experience in IPOs, private placements, and M&A.
• Extensive experience working within the financial services industry, particularly with FSRA and ADGM regulations.
• Strong knowledge of corporate law, securities law, and financial regulations.
• Excellent drafting, negotiation, and communication skills.
• Strong analytical and problem-solving abilities.
• Ability to work independently and manage multiple projects simultaneously.
• High ethical standards and professional integrity.
