Position: Corporate LawyerCompany: Finstreet LimitedLocation: Abu Dhabi, UAE (ADGM)Employment Type: Full-timeAbout Finstreet Limited: Finstreet Limited is a holding company, company based in the Abu Dhabi Global Market (ADGM), which has regulated financial services subsidiaries. We specialize in providing innovative financial solutions to our clients, including public equity, private equity, venture capital, and structured finance transactions.Position Overview: The Corporate Lawyer will provide expert legal advice and support on a variety of corporate transactions, including initial public offerings (IPOs), private placements, and mergers and acquisitions (M&A). The ideal candidate will have extensive experience working within the financial services industry, particularly in the context of the Financial Services Regulatory Authority (FSRA) and ADGM regulations.Key Responsibilities:

  • Support the development and implementation of group legal strategy and contribute to the development of the organizations general business strategy.
  • Structure and execute global financial transactions, including private equity investments, venture capital deals, and structured finance transactions, in compliance with regulatory requirements and best practices.
  • Advise on and manage the legal aspects of IPOs, private placements, and M&A transactions.
  • Draft, review, and negotiate transaction documents, including prospectuses, offering memorandums, shareholder agreements, and purchase agreements.
  • Conduct due diligence and ensure compliance with relevant laws and regulations.
  • Draft, review, and negotiate contracts, agreements, and legal documents related to corporate transactions, investments, and partnerships.
  • Provide legal advice and guidance to internal stakeholders on matters related to financial structuring, regulatory compliance, and corporate governance.
  • Conduct legal research and analysis on relevant laws, regulations, and industry trends affecting the financial services sector.
  • Ensure compliance with FSRA and ADGM regulations, providing guidance on regulatory matters.
  • Liaise with regulatory authorities and ensure timely submission of required documentation and filings.
  • Identify and mitigate legal risks associated with corporate transactions and operations.
  • Develop and implement policies and procedures to ensure legal and regulatory compliance.
Qualifications:
  • Education:
  • Bachelors degree in Law (LLB) from a recognized institution; Masters degree (LLM) or equivalent is preferred.
  • Admission to practice law in a recognized jurisdiction.
  • Minimum of 10-15 years of experience as a corporate lawyer, with significant experience in IPOs, private placements, and M&A.
  • Extensive experience working within the financial services industry, particularly with FSRA and ADGM regulations.
  • Strong knowledge of corporate law, securities law, and financial regulations.
  • Excellent drafting, negotiation, and communication skills.
  • Strong analytical and problem-solving abilities.
  • Ability to work independently and manage multiple projects simultaneously.
  • High ethical standards and professional integrity.
