Job Description

Job Purpose:To support the Global Markets Business by processing and coordinating legal documents related to the Global Markets Business.Responsible for negotiating legal agreements specializing in ISDA Master Agreements, Credit Support Annexes. Guarantees and Ancillary documents.Key Accountabilities:

  • Support, process and maintain all legal documentation and trading agreements for the Global Markets unit. These documents include ISDA/CSA and GMRA documents required to conduct derivatives trading with both corporate clients and Financial Institutions, Islamic Murabaha and Wakala agreements, industry related memberships, system contracts, SLAs, NDAs, Brokerage agreements and all other Legal Contracts signed by the business in support of business activities.
  • Support in negotiating terms, conditions and commercial issues with counterparties and third parties for legal and business contracts for FAB. Contracts include ISDAs, CSAs, GMRAs, NDAs, Islamic Agreements, FX trading, Brokerage agreements, SLAs and other legal contracts signed within Global Markets.
  • Responsible for negotiating the full suite of legal agreements specializing in ISDA Master Agreements, Credit Support Annexes. Guarantees and Ancillary documents. Supporting and providing assistance to the Head of Global Markets Documentation team as and when required.
  • Negotiating and Managing documentation - A sound understanding of reviewing, drafting, researching and negotiating complex legal contract with key clients to the bank. Reviewing and drafting contracts on a daily basis conducting best practice to ensure documentation is in line and coherent with the companies policies and procedures while eliminating possible risks. Furthermore, reviewing of guarantees, enforceability opinions for various jurisdictions, industry opinions, capacity opinions for various counterparties and other documents in general support of business and coordinating with legal where necessary to ensure documentation remains updated at all times.
  • Negotiator for the documents mentioned above.
  • Providing support to the front, middle and back office, working within tight time frames and ensuring that a consistent approach is taken in the documentation.
  • Assisting with the standardization of templates, ensuring that all stakeholders from within the business are involved and that a unified approach is presented in the documentation.
  • Manage and develop strong relationships with all internal and external customers.
Job Context:The role is key to the Global Markets business by providing direct support to clients and counterparties with whom Global Markets transacts with. Being responsible for coordinating legal reviews of contracts and documents related thereto for Global Markets, thereby ensuring that credit and legal risks are mitigated. To coordinate the negotiations between various parties, both internally and externally until full execution of documents have taken place. Once all the documents are properly signed and executed thereafter ensuring proper filing and safe keeping of such documents for future reference.
  • Legal administrative processing of all Global Markets documentation in coordination with the Legal Department and other business units in the bank. Act as the main link between the business, the client, the legal department, credit risk and other stakeholders
  • Support, process and maintain all legal documentation and trading agreements for the Global Markets unit. These documents include but are not limited to ISDA/CSA and GMRA documents required to conduct derivatives trading with both corporate clients and Financial Institutions, Islamic agreements, industry related memberships, system contracts, SLAs, NDAs, Brokerage agreements and all other legal contracts signed by the business in support of business activities.
  • Safekeeping: Ensure proper custodianship of all original signed documents, including coordinating with credit administrative department or document repositories where required.
  • Create and organize a comprehensive database of all documents reviewed and signed by the business for both vendor contracts and trade agreements for senior management.
  • Involved heavily in compliance and regulatory updates which impact the bank and business units including but not limited to Dodd Frank, EMIR, FATCA, SEF, etc. responsible for informing clients of the banks position on such regulations and ensure legal documentation is updated accordingly.
  • Support in negotiating terms, conditions and commercial issues with counterparties and contractors for legal and business contracts within Global Markets division for FAB. Contracts include ISDAs, CSAs GMRAs, NDAs, Islamic Agreements, FX trading, Brokerage Agreements, SLAs, Hedging agreements, Trade and Licensing Agreements and other legal contracts signed within Global Markets.
  • Manage and develop strong relationships with all internal and external customers.
  • Negotiating and Managing documentation - A sound understanding of reviewing, drafting, researching, and negotiating complex legal contracts with key clients to the bank. Furthermore, reviewing of guarantees, industry opinions, enforceability opinions for various jurisdictions, capacity opinions for counterparties in general support of business and coordinating with legal where necessary to ensure documentation remains updated at all times.
  • Process Enhancement - implementing risk control process and procedures to increase efficiency and reduce operational risk.
  • Project Management - managing and implementing projects required to improve the work process, tracking the project development, and creating targets.
  • Liaising with the Banks Legal Advisor on legal matters, Credit Officers on credit matter and Business representatives to raise and resolve all issues.
  • Standardization: working to improve and standardize documentation in order to ensure a more consistent drafting and negotiation process.
  • Interfacing with internal and external stakeholders to resolve all escalation matters.
QualificationsMinimum Qualification
  • A bachelors degree in legal or accounting / finance.
  • 4-5 years in banking experience.
Minimum Experience
  • Negotiating experience gained in a previous role requiring problem solving skills around ISDA specific agreements.
  • An understanding of the Global Markets regulatory requirements.
  • An understanding of the regulations specific to Global Markets transactions
  • Good understanding of financial markets instruments and products is an advantage.
  • Reading and understanding legal opinions, that are relevant when negotiating ISDA specific agreements and related legal opinions such as in relation to syndicated facilities and hedges.
  • Easily adaptable and capable of dealing with change as the environment is robust and constantly changing.
  • Strong organizational skills
  • Focused and detail oriented.
  • Experience in automated systems / banking systems will be an advantage.
  • Proficiency in Computer skill, knowledge in MS office and excel.
  • Ability to communicate both verbally and in written with good presentation and interpersonal skills.
  • Strong influencing and coaching skills.
  • Capable to organize the workload, meet deadlines and to work under pressure.
  • Good analytical, networking and communication skills
  • Knowledge and use of banking software systems.
  • Good knowledge of U.A.E. legal environment & Central Bank regulations as well jurisdictions where FAB has a presence.
  • English is a must (Fluent to professionally read and write).
